Terms of Service

1. Agreement
By using flipr.ai and engaging Flipr Technologies Pvt. Ltd. (“Flipr”) for engineering services, you agree to these Terms. Actual service engagements are governed by a separate Statement of Work (“SOW”) or Master Service Agreement (“MSA”) signed between the parties. In case of conflict, the SOW/MSA takes precedence.
2. Services
Flipr provides software product engineering services including but not limited to: AI system development, SaaS platform engineering, agentic workflow systems, RAG-based knowledge systems, and embedded engineering pods. All engagements are fixed-scope unless otherwise agreed in writing.
3. Intellectual property
Upon full payment, all custom code, designs, and deliverables created specifically for a client become the client’s property. Flipr retains ownership of pre-existing tools, frameworks, libraries, and proprietary methodologies used in delivery. Open-source components remain under their respective licenses.
4. Confidentiality
Flipr treats all client information as confidential and will not disclose it to third parties without written consent, except as required by law. Clients are invited to request a formal NDA prior to sharing sensitive information during the proposal stage.
5. Payment
Payment terms are defined in the SOW. Standard terms are 50% upfront and 50% on delivery for fixed-scope engagements. Monthly billing applies to embedded pod arrangements. Late payments attract 1.5% interest per month after a 15-day grace period.
6. Limitation of liability
Flipr’s aggregate liability under any engagement shall not exceed the total fees paid by the client in the preceding 3 months. Flipr is not liable for indirect, incidental, or consequential damages. This limitation does not apply to cases of gross negligence or wilful misconduct.
7. Governing law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka.
